The Role:
The Wells Fargo Legal Department is seeking an attorney with 8-10 years of experience to join the Legal team supporting the Wealth & Investment Management (“WIM”) advisory business. The Counsel 4 position will be a senior level attorney managing a team which provides key legal support for a highly complex portfolio management and trading function across several legal entities, multiple product lines and distribution channels.

The candidate will provide legal counsel on all aspects of the Core and Custom Lending business of WIM’s Banking, Lending, & Trust Center of Excellence, with a focus on securities based lending, investor real estate, and specialized finance including private equity and hedge fund lending and law firm and partner capital lending.  The position will report to the Managing Counsel of the Core and Custom Lending Team, part of the Legal Department’s WIM Division.

Responsibilities include:
• Advise on legal issues relating to custom commercial and consumer securities based lending products as well as packaged consumer securities based lending products, custom investor real estate loans and lines, specialized finance credit such as life insurance premium finance, lending against qualified replacement property to create liquidity for ESOP participants, private equity and hedge fund lending, aircraft and yacht lending, and professional enterprise lending, such as accounting and law firm lending, and related partner capital lending. 
• Foster an environment that ensures strong communication and cooperation across the business, Compliance, Risk and Audit to facilitate transparency, balance and credible challenge.
• Sustain a strong risk management culture that identifies, provides oversight and escalation of existing and emerging compliance and/or risk issues across business groups, legal entities, geographies and jurisdictions and ensure that escalated risk issues receive appropriate senior management attention.
• Identify and analyze complex legal issues arising out of strategic initiatives as well as develop conclusions and recommend solutions while working directly with business partners.

The Candidate:
The successful candidate for this role will demonstrate the leadership skill necessary to build and lead a high-performing team of legal professionals to drive results through leadership effectiveness and employee engagement; contribute to broad enterprise strategy with a One Wells Fargo lens; and further the company’s strong risk management culture by living the Vision and Values of Wells Fargo. This collaborative leader must be capable of initiating action and managing change. The position requires a leader with strong relationship management, influencing, vision and execution skills. Required Qualifications

  • 8+ years of experience as a practicing attorney; or 6+ years of experience as a practicing attorney and 2+ years of legal-related experience in one or a combination of the following areas: risk, compliance, contracts, government, regulatory, financial services, or technology
  • Active State Bar membership

Desired Qualifications

  • Ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters
  • Extensive experience conducting research and providing counsel and guidance regarding complex legal issues
  • Strong attention to detail and accuracy skills
  • Excellent verbal, written, and interpersonal communication skills
  • Ability to effectively organize and prioritize work while handling multiple matters
  • Ability to work effectively in a complex environment with a high degree of collaboration
  • Effective in building partnerships, functioning well with project teams, and working for the success of the team

Other Desired Qualifications

• Significant background in real estate, including a proficiency in state usury laws, trust law, the Uniform Commercial Code, and real estate finance law, including federal regulatory laws such as Reg B, flood insurance, appraisals, loan to value limitations and other real estate matters.
• A background in securities based lending, including Article 9 of the Uniform Commercial Code, Federal Reserve Reg U, SEC Rule 144, the Volcker Rule, and related laws.
• A knowledge of the laws governing electronic transactions would be a plus.
• Proven ability to cultivate relationships and collaborate with multiple stakeholders and constituencies, including business leaders, legal, audit and multiple U.S. and non-U.S. regulators.
• Ethical integrity and proven ability to serve as a role model.
• 8+ years of experience handling commercial lending issues, including a direct involvement in documenting and closing large securities based or real estate lending transactions in either a law firm setting or in-house at a large financial institution.
